## Senior Business Attorney at Law Firm At Law Firm, we are looking for an experienced Senior Business Attorney to join our team. Our Firm is committed to providing quality legal services with a thoughtful approach to our clients legal matters. We are looking for someone who can provide a wide range of business and corporate legal services, think strategically, and have excellent legal reasoning and communication skills. **Key Responsibilities** - Drafting, reviewing, and revising business organizational documents, including operating agreements, shareholder agreements, bylaws, stock plans, consents, resolutions, and corporate minutes - Drafting, reviewing, and revising a wide range of commercial contracts - Conducting and managing business deals, including asset purchase transactions, stock purchase transactions, commercial loan closings, private equity investments, etc. - Develop legal strategies and advise clients regarding their best legal interests, serving as the principal contact between the Firm and the clients - Oversee, counsel, guide, train, and mentor other attorneys and paralegals, including assigning work and tracking work product - Help with marketing, networking by attending functions, writing articles, and speaking engagements - Develop new clients for the Firm **Skills & Qualifications Required** - 3+ years business/corporate law experience, with an excellent working knowledge of corporate and LLC law statutes, case law, and documents - License to practice law in good standing in North Carolina - Excellent academic credentials - Outstanding references - Strong legal reasoning, writing, oral communication, and research skills - Business sense and ability to think strategically - Positive attitude - Ability to develop and nurture our clients confidence, trust, happiness with, and desire for our Firm's services - Open to feedback at all levels - Demonstrated skills of poise, diplomacy, and tact - Excellent organization, prioritization, and time management skills - Dependable, with an unstoppable work ethic and personal integrity - Ability to work independently - Proficiency with the following systems: Clio, Apple Mac iOS, G-Suite, Microsoft Office **Preferred Experience** - Healthcare: working knowledge of HIPAA and related state and federal healthcare laws and documents; experience representing physicians, healthcare startups, dietary supplement companies, medical/surgical device companies, medical management companies, and life science technology companies - Software and Technology: representation of software companies and familiarity with software agreements, mobile app developers, SaaS providers, and technology consultants - Data privacy: GDPR, CCPA - Hospitality: representation of restaurants, coffee shops, franchisees, and franchisors **Compensation** Only qualified applicants should apply.
